Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer", "you") and Daxion Technologies Ltd ("DaxionTech", "we", "us") governing your access to and use of the Traklio platform and all associated services.

By registering an account or using the Traklio platform, you agree to be bound by these Terms. If you do not agree, you must not use our services.

Definitions

  • "Platform" means the Traklio software-as-a-service application, including all modules, features, APIs and mobile applications.
  • "Service" means the Platform and any professional services provided by DaxionTech.
  • "Subscription" means a paid or free licence to access and use the Platform for the duration of a Subscription Term.
  • "User" means any individual authorised by the Customer to access the Platform under the Customer's account.
  • "Customer Data" means all data, content and materials uploaded to or created within the Platform by the Customer or its Users.
  • "Service Order" means a written order form, proposal or online checkout specifying the Subscription plan, number of users, and applicable fees.
2.

Access and Accounts

Account registration

To access the Platform, you must register an account by providing accurate, current and complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.

Authorised Users

You may authorise Users to access the Platform up to the number of seats covered by your Subscription. You are responsible for ensuring that all Users comply with these Terms. Each User must have their own credentials and must not share login details.

Account security

You must notify us immediately at support@daxiontech.com if you become aware of any unauthorised access to your account or any security breach.

3.

Subscriptions and Payment

Plans

We offer Free, Professional, and Enterprise plans as described on our Pricing page. Features and limits vary by plan. We reserve the right to modify plan features with 30 days' notice.

Billing

  • Professional subscriptions are billed monthly or annually in advance.
  • All fees are exclusive of VAT and applicable taxes, which will be added at the prevailing rate.
  • Invoices are issued electronically and payment is due within 30 days of the invoice date for Enterprise plans.
  • We use third-party payment processors. By providing payment details, you agree to their terms.

Renewals

Subscriptions automatically renew at the end of each Subscription Term unless cancelled at least 30 days before the renewal date. We will send a renewal reminder 45 days before auto-renewal.

Late payment

We reserve the right to suspend access to the Platform if payment is 14 or more days overdue. Interest on overdue amounts accrues at 8% per annum above the Bank of England base rate in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.

Refunds

All fees are non-refundable except where required by applicable law, or at our sole discretion in exceptional circumstances. Where a Customer has been incorrectly charged, we will issue a credit or refund promptly.

Acceptable Use

You agree not to use the Platform to:

  • Violate any applicable law, regulation or third-party rights
  • Upload, transmit or distribute malicious code, viruses or harmful content
  • Attempt to gain unauthorised access to the Platform or its underlying infrastructure
  • Reverse-engineer, decompile, disassemble or attempt to derive the source code of the Platform
  • Resell, sublicense or transfer your Subscription rights without our prior written consent
  • Use the Platform to store or transmit content that is unlawful, defamatory, obscene or fraudulent
  • Conduct load testing, vulnerability scanning or penetration testing without prior written authorisation
  • Scrape, crawl or index any part of the Platform using automated tools

We reserve the right to suspend or terminate accounts that violate this Acceptable Use policy without prior notice.

5.

Intellectual Property

DaxionTech IP

All intellectual property rights in the Platform — including software, algorithms, user interface, trademarks ("Traklio", "DaxionTech") and documentation — are and remain the exclusive property of Daxion Technologies Ltd or its licensors. These Terms do not grant you any ownership rights in the Platform.

Customer Data

You retain all ownership rights in your Customer Data. By uploading Customer Data to the Platform, you grant DaxionTech a limited, non-exclusive, royalty-free licence to process, store and transmit that data solely as necessary to provide the Service.

Feedback

If you provide suggestions or feedback about the Platform, we may use such feedback without restriction or compensation to you.

6.

Confidentiality

Each party agrees to keep the other party's Confidential Information strictly confidential and not to disclose it to third parties without prior written consent, except as required by law or as necessary to perform obligations under these Terms. "Confidential Information" includes all non-public business, technical and financial information disclosed by one party to the other.

7.

Data Protection

We process Customer Data in accordance with our Privacy Policy and Data Processing Policy. For Enterprise customers requiring a Data Processing Agreement (DPA), please contact legal@daxiontech.com.

8.

Service Availability and Support

Uptime

We target 99.9% monthly uptime for the Platform (excluding scheduled maintenance). For Professional and Enterprise plans, our current uptime performance is published on our status page. Enterprise customers may negotiate enhanced SLAs.

Maintenance

We will provide at least 48 hours' notice of scheduled maintenance that may impact availability. Emergency maintenance may be performed without prior notice where required for security.

Support

Support is provided by email and in-app chat during business hours (Monday–Friday, 09:00–17:30 UK time) for Professional plans. Enterprise customers receive 24/7 priority support with a dedicated success manager.

9.

Warranties and Disclaimers

DaxionTech warrants that the Platform will perform materially in accordance with its documentation under normal use conditions. We will use commercially reasonable efforts to correct material defects reported by you.

EXCEPT AS EXPRESSLY SET OUT ABOVE, THE PLATFORM IS PROVIDED "AS IS". TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.

10.

Limitation of Liability

To the maximum extent permitted by applicable law:

  • Neither party shall be liable to the other for any indirect, incidental, special, consequential or punitive damages, including loss of profits, loss of data or loss of business opportunity.
  • DaxionTech's total aggregate liability to you under or in connection with these Terms shall not exceed the total fees paid by you in the twelve (12) months immediately preceding the event giving rise to the claim.
  • Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded by law.
11.

Term and Termination

Term

These Terms commence on the date you first access the Platform and continue until terminated in accordance with this clause.

Termination by Customer

You may terminate your Subscription at any time through your account settings or by contacting us. Termination takes effect at the end of the current billing period. No refunds are provided for the remainder of a prepaid period.

Termination by DaxionTech

We may terminate your Subscription immediately if: (a) you materially breach these Terms and fail to cure the breach within 14 days of written notice; (b) you become insolvent or enter administration; or (c) you are in arrears of payment for more than 30 days.

Effect of termination

Upon termination, your access to the Platform ceases. We will make your Customer Data available for export for 30 days after termination, after which it will be permanently deleted in accordance with our data retention practices.

12.

Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of England and Wales. Any dispute arising out of or in connection with these Terms shall first be subject to good-faith negotiation between the parties. If unresolved within 30 days, disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

13.

General

  • Entire Agreement: These Terms, together with the Service Order and any DPA, constitute the entire agreement between the parties and supersede all prior agreements relating to the subject matter.
  • Amendments: We may amend these Terms by providing 30 days' written notice. Continued use of the Platform after the effective date constitutes acceptance.
  • Assignment: You may not assign your rights under these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition or sale of assets.
  • Waiver: Failure to enforce any provision shall not constitute a waiver of our right to enforce it in future.
  • Severability: If any provision is found to be unenforceable, the remaining provisions shall continue in full force.
  • Force Majeure: Neither party shall be liable for delays caused by circumstances beyond their reasonable control.
